(e) Admission Fee:
Each newly admitted member shall pay an admission fee,
the level of which shall be determined at the Annual General Meetings.
(f) Annual Dues
Each
member shall pay annual dues, the level of which shall be recommended
from time to time by the Executive Council and approved by the Annual
General Meeting. Failure to pay annual dues for two consecutive
years will render the member liable for suspension until such a
member resumes payment of dues as well as clear the backlog.
(g) Resignation A
member shall be free to resign from SOGHIN on condition that six
months notice is given in writing to the Secretariat. During that
time, such a member shall fulfill all commitments already undertaken.
(h) Determination and Suspension of Membership The
Executive Council may propose the suspension, for a specified period,
of a member judged to be uncommitted to the objectives and interests
of the Society.
The
Governing Council may propose terminating the membership of members
who have ceased to contribute to the objectives of the Society,
who have not attended five consecutive regular meetings, or who,
despite written notifications by the Secretary-General, are in arrears
of annual dues for five years. The Governing Council will make its
recommendations on this report to the Annual General Meeting which
shall have the power to take a decision on the report by 2/3 majority
of members present.
(i) Voting
Only
full financial members shall be eligible to vote in the Annual General
Meetings.
No
individual can serve on the Executive Council unless the individual
is in good financial standing with the Society.
(j) Local Chapters
State
and Zonal chapters of SOGHIN are to be encouraged.
(k) Rights and Privileges of Members
ARTICLE
4 : Organization
The
administrative structure of the society shall be constituted by
the following bodies:
1.
Board of Trustees
2.
Annual General Meeting (The General Assembly)
3.
The Governing Council
4.
Executive Council
1.
Board of Trustees
(a) Composition: The Board of Trustees (BOT) shall be made up of at least
3 individuals who are respectable senior colleagues of proven integrity
and who have distinguished themselves in their specialties. The
membership of the BOT shall be determined by the Annual General
Meeting on recommendation from The Governing Council.
(b) Functions: The BOT shall represent the interest of the society before
government.
2.
Annual General Meeting or AGM (The General Assembly)
(a)
Composition: The meeting of the general membership
shall be known as The General Assembly or AGM. The AGM shall be
held once every year in conjunction with the usual Annual Scientific
Meetings of the society and shall be presided over by the President.
The quorum for the AGM shall be formed when 4 of the 6 zones of
the society are represented by at least a third of the membership
of each zone.
(b)
Functions: The AGM shall take final decisions for
the society by a simple majority except when an official of the
society is to be removed in which case it shall be by two-thirds
of those present. The AGM shall be the highest authority of SOGHIN.
The
AGM shall elect all members of The Governing Council and the Executive
Council.The
AGM shall receive and deliberate on annual reports from officers
of the Executive Council.
The
AGM shall consider and ratify the list of intending members presented
to it by the Secretary-General.

3.
The Governing Council
(a)
Composition: The Governing Council shall be made
up of officers of the Executive Council and elected ordinary members.
The officers shall consist of the President, Vice-President, Secretary-General,
Treasurer, Editor, Assistant Secretary-General, Publicity Secretary
and the immediate past President and Secretary-General as Ex-Officio
members. In addition, there shall be 6 ordinary members elected
to represent the 6 geo-political zones of Nigeria .
(b)
Functions: The Governing Council shall formulate policies for the
society between Annual General Meetings.The Governing Council shall
meet at least once a year, especially in the period immediately
preceding the AGM. The quorum at the meetings of The Governing Council
shall be 7 members provided the President and the Secretary-General
are in attendance. Decisions shall be arrived at by simple majority
and if at any time there is a tie, the President shall have the
casting vote.
4.
Executive Council
(a)
Composition: Executive
Council shall be made up of the President, Vice-President, Secretary-General,
Treasurer, Assistant Secretary-General, Publicity Secretary and
Editor.
(b)
Functions:
(i) President: He
or she shall preside over the meetings of The Governing Council,
the Executive Council and The General Assembly (AGM). He or she
shall be the Chief Executive Officer of the Society. The term of
office of the President shall be 2 years. The incumbent shall be
eligible for re-election for another term of 2 years only.
(ii) Vice-President: In the absence of the President, the Vice-President shall
carry out the functions of the President. He or she shall perform
other duties as may be specified by the Executive Council or the
AGM. The term of office of the Vice-President shall be 2 years.
The incumbent shall be eligible for re-election.
(iii) Secretary-General: He
or she shall keep the minutes of all meetings of The Governing Council,
Executive Council and the AGM. He or she shall be the custodian
of the records and membership directory of the society. He or she
shall be responsible for all correspondences of the society and
perform other duties relevant to the office and prescribed by The
Governing Council, the Executive Council and the AGM. The term of
office of the Secretary-General shall be 4 years. The incumbent
shall be eligible for re-election.
(iv) Treasurer: He or she shall be responsible for keeping the accounts
and books of the society and shall be responsible for depositing
all moneys of the society to the bank within one week of receipt.
He or she shall present an audited account to the AGM every year.
The term of office of the Treasurer shall be 2 years. The incumbent
shall be eligible for re-election.
(v) Assistant Secretary-General: He
or she shall assist the Secretary-General in running the secretariat
of the Society.
(vi) Editor: He or she shall coordinate and organize the production
and circulation of the publications of the society especially her
journal. The tenure of office shall be 4 years only.
(vii) Publicity Secretary: He or she shall be the chief spokesman of the Society especially
in matters relating to the Nigerian public. He or she shall also
be responsible for coordinating the publicity of the programmes
and activities of the Society.
(5) Miscellaneous:
Eligibility for election to all offices of the society shall cease
at the age of 65 except for BOT membership. The ordinary members
of The Governing Council (also to be known as Councilors) shall
be elected by The General Assembly of the society. The term of office
for Councilors shall be 2 years and the incumbent shall be eligible
for re-election. Vacancies in The Governing Council due to disability,
death or resignation shall be filled for the balance of the tenure
or left vacant until the next regular meeting (whichever is the
earlier) by the Executive Council subject to approval by The Governing
Council. The Executive Council shall have power to nominate members
for ad-hoc committees and other offices subject to approval by The
Governing Council
